Terms and Conditions of Sale.


The following terms and conditions are the terms on which Lackington Joinery sells products and/or provides a carpentry or joinery service to a customer or contracted third party and supersedes all other terms and conditions relating to the subject matter of these conditions, apart from further or altered conditions specified in individual estimates or quotations.

 

1. Quotations & Estimates.

1.1 Any quotation or estimate provided by Lackington Joinery shall be valid for acceptance by the customer for a period of 28 days from the date of the quotation. Lackington Joinery reserves the right to re-validate any quotation or estimate that has expired prior to accepting an order from the customer.


1.2 Any quotation or estimate shall be deemed as Accepted by the customer once payment of a 25% deposit has been received by Lackington Joinery.


1.3 Unless explicitly stated, staining or painting of joinery products is not included in the quoted price.


1.4 Where large orders are to be supplied in batches over a prolonged period of time Lackington Joinery reserves the right to increase the quoted price in the event of any increase in the price of materials. Lackington Joinery shall inform the customer of any price increase in writing prior to any increase taking place.


2. Price and Payment.

2.1 The price for the goods shall be the price as stated on the quotation or estimate provided by Lackington Joinery. Any additional costs that are incurred through amendment of the order by the customer shall be added to the final invoice. Any additional costs shall be explained to customer.


2.2 Lackington Joinery is not a V.A.T registered company and as such V.A.T does not apply to our prices.


2.3 For “supply only” products i.e. where Lackington Joinery does not install at a customer’s property; 25% of the price quoted shall be paid to Lackington Joinery before production will commence. The remaining balance of the quoted price will be paid by the customer upon collection or delivery of the goods. Lackington Joinery reserves the right to request staged payments for larger orders.


2.4 For a “supply and fit” sale i.e. where Lackington Joinery install any joinery at a customer’s property payment will be made in accordance with the following schedule unless explicitly stated otherwise at the quotation stage.


2.4.1 Deposit - 25% of the price shall be paid to Lackington Joinery on acceptance of the quote. This non-refundable payment confirms your order of joinery as per quotation.


2.4.2 First Stage Payment – 25% of the price shall be paid to Lackington Joinery on commencement of production.


2.4.3 Final Payment – The remaining balance of the quoted price and any additional costs incurred due to any amendments of the order will be paid in full to Lackington Joinery on completion of installation and acceptance of the goods by the customer.


2.5 Invoices from Lackington Joinery shall be settled no later the 7 Days from the date of issue.


2.6 Lackington Joinery is happy to undertake insurance work but it is only done on the understanding that the customer is responsible for payment of any invoices and not the insurance company. Lackington Joinery will not deal directly with insurance companies.


3. Goods.

3.1 All goods shall be required to conform to the specification in the order unless otherwise agreed in writing or orally.


3.2 Once the 25% Deposit has been paid by the customer it shall be deemed that the customer has accepted the Terms and Conditions of Sale for the goods.


4. Order Amendments.

4.1 Lackington Joinery will accept amendments to customer orders but where the amendments incur additional costs in time and materials, Lackington Joinery will charge the customer accordingly.


4.2 Lackington Joinery will accommodate amendments to orders up to 14 days prior to the commencement of production. Thereafter Lackington Joinery reserves the right to reschedule production.


4.3 For “supply only” sales the customer is responsible for the accuracy of the sizes requested. Any amendments to joinery items ordered due to inaccurate sizes will be charged for accordingly.


5. Delivery.

5.1 The customer shall be deemed to have accepted the goods on completion of “supply & fit” work or upon collection or delivery of a “supply only” sale.


5.2 Lackington Joinery will not be liable to the customer or be deemed to be in breach of the conditions by reason of any delay or failure in a “supply and fit” or “supply only” sale if the delay or failure was due to any cause beyond its reasonable control.


5.3 The customer shall be entitled to repair or replacement of any goods damaged in transit when delivered by Lackington Joinery. Only if the company is reasonably satisfied that the damage was caused in transit.


5.4 Lackington Joinery shall not be liable for any goods which have been collected by the customer.


6. Cancellation of orders.

6.1 Any cancellation of an order must be made to Lackington Joinery in writing. The customer will be charged for any materials ordered or work completed for an order at the point of cancellation.


7. Title to Goods.

7.1 All goods and materials shall remain the property of Lackington Joinery until such time that the balance has been paid in full.


7.2 The title of any unwanted items removed by Lackington Joinery as debris or rubbish from a customer’s property is immediately passed to Lackington Joinery.


8. Warranty.

8.1 Lackington Joinery warrants that all goods manufactured by it will be free from defects in materials or workmanship for a period of 6 months from the date of delivery or collection.


8.2 The company’s obligation in the event of a breach of this warranty is limited to the repair or replacement of any defective goods. This warranty is given in lieu of all other warranties or conditions expressed or implied and is subject to the following conditions:


8.2.1 The customer giving notice of the defect within 7 days of the defect coming to the customer’s attention.


8.2.2 The defect being due to Lackington Joinery’s faulty design, workmanship or materials.


8.2.3 Lackington Joinery shall not be liable for any defect arising from any drawing, design or specification supplied by the customer.


8.2.4 The customer having followed any instructions given by Lackington Joinery with regard to the storage, installation, use or maintenance of the goods.


8.2.5 Lackington Joinery shall be under no liability if the defect or failure, in the reasonable opinion of the company arises from wilful damage, misuse, negligence, alteration or repair by the customer or any third party.


8.2.6 The above warranty does not extend to parts, materials or equipment not manufactured by Lackington Joinery, in respect of which the customer shall be entitled only to the benefit of any such warranty or guarantee as is given by the manufacturer to the company.


8.2.7 Unless specified in any quotation or estimate all external joinery items are preserved upon completion or during manufacture. Whilst the preservation treatment reduces the possibility of rot or insect attack, it cannot eliminate this possibility entirely. Lackington Joinery shall be under no liability if a defect is caused by rot or insect attack against joinery items.


8.2.8 Timber is a unique product of nature, which is characterised by distinctive variations in grain and colours. These natural variations in colour and grain are not flaws or defects, but part of the natural uniqueness of timber products. Lackington Joinery shall be under no liability for natural changes to colours and/or grain movement which may occur.


8.2.9 Every effort is made to minimise the risk of timber expansion of external joinery items by allowing tolerance within the design. Lackington Joinery shall be under no liability if the defect is due to expansion or swelling.


8.2.10 Double glazed units attract a manufacturer’s 1 year warranty against premature breakdown – these will be replaced within the terms of the warranty if the breakdown is accepted by the manufacturer.


8.2.11 Except in cases of death or personal injury caused by the company’s negligence, the company shall not be liable for any consequential loss or damage (whether for loss of profit or otherwise) or other claims for consequential compensation.


9. General

9.1 Nothing in these conditions shall be construed so as to exclude or limit the liability of the company for breach of the warranties contained in clause 8 or for breach of warranty as to title and possession implied by the Sale of Gods Act 1979 where such act applies to the contract between Lackington Joinery and the customer for the sale and purchase of the goods incorporating these conditions.


9.2 These conditions shall apply to all contracts for sale of goods by the company to a customer to the exclusion of all other terms and conditions which a customer may purport to apply under any purchase order, confirmation of order or any similar documentation and all orders for goods shall be deemed to be an offer by the customer to purchase goods subject to these conditions.


9.3 This agreement shall be governed by and constructed in accordance with the law of England and the parties hereto submit to the non-exclusive jurisdiction of the English Courts.
